These merchant terms explain the responsibilities that apply when a business creates or operates a Pat account.
Account eligibility and approval
A merchant must provide accurate business, representative, ownership, tax, and payout information requested by Pat or its payment providers. Account creation does not guarantee approval for payments, Tap to Pay, payouts, or any specific feature.
Payment and payout availability depends on verification, location, supported devices, network availability, provider requirements, and continued account eligibility.
Merchant responsibilities
The merchant is the seller of record for its goods and services and is responsible for descriptions, prices, taxes, required licenses, customer authorization, fulfillment, receipts, customer service, cancellations, returns, and refunds.
The merchant must protect account credentials, restrict staff access to appropriate roles, promptly report suspected unauthorized access, and maintain accurate business and payout information.
Payments, fees, and payouts
Pat provides software interfaces that connect to third-party payment services. Payment credentials are handled by the applicable payment provider. The merchant authorizes Pat and its providers to submit transactions and related instructions initiated through authorized Pat accounts.
Applicable fees and the amount presented to the customer must be reviewed before a transaction is submitted. Payout timing, availability, holds, reserves, reversals, and account restrictions depend on the payment provider, banking networks, verification status, risk review, and applicable law.
Refunds, disputes, and negative balances
The merchant is responsible for responding to refund requests and payment disputes, preserving order and authorization records, and providing evidence requested by Pat or a payment provider.
Refunds, chargebacks, reversals, provider fees, reserves, and other adjustments may reduce amounts otherwise available to the merchant. Pat does not guarantee the outcome of a dispute.
Restricted activity and monitoring
The merchant must comply with the Acceptable Use Policy and all applicable laws. Pat may review activity, request information, delay or restrict a feature, or suspend an account when reasonably necessary for security, fraud prevention, provider compliance, or legal obligations.
Records and communications
The merchant must retain records required to support transactions, refunds, disputes, tax obligations, customer communications, and legal compliance. Electronic notices sent to the account contact information are considered received when delivered, subject to applicable law.
Security verification messages and transactional service communications are not marketing consent. Marketing messages require a separate lawful basis and applicable opt-out controls.
Suspension, termination, and account closure
Pat may suspend or terminate access for material breach, prohibited activity, suspected fraud, security risk, legal requirement, or payment-provider restriction. Account closure may be delayed while payments, refunds, disputes, payouts, reserves, or legal retention obligations remain unresolved.
Closing a Pat account does not cancel obligations arising before closure, including refunds, disputes, fees, negative balances, record retention, or cooperation with lawful investigations.
Legal review status
This merchant agreement is an operational draft based on Pat's current product behavior. Ernwell, Inc. must obtain qualified payments counsel review before treating it as final launch language.
