Terms of Service

Pat is a product and service owned and operated by Ernwell, Inc. In these Terms, “we,” “us,” and “our” mean Ernwell, Inc.; Pat refers to its product and service.

Pat provides payment-link and point-of-sale tools for independent merchants. A payment link lets you review a merchant’s order and continue to a payment page. Pat is not the seller of the goods or services shown on a link.

You must be legally able to enter a binding agreement to create a merchant account. By accessing Pat, creating an account, or paying through a Pat link, you agree to these Terms, provide accurate information, and use the service lawfully. If you do not agree, do not use Pat.

Merchants are responsible for safeguarding account credentials, maintaining accurate business and payout information, and ensuring that staff members use Pat only within their authorized roles. Tell us promptly if you suspect unauthorized account access.

Merchants are responsible for their products and services, prices, taxes, customer communications, fulfillment, returns, refunds, required licenses, and compliance with applicable law. Pat may suspend or restrict an account where required by law, a payment provider, or a reasonable fraud or security concern.

The merchant sets the item description, price, availability, expiration, and any applicable taxes or discounts. Review the order before paying. A link can expire, be cancelled, or become unavailable without notice.

The final amount charged through Pat may include an applicable processing fee. Any fee is included in the final total shown before payment and is not charged a second time.

Our payment provider processes payments in the supported currency shown at checkout. Your bank or card issuer may apply its own terms, limits, fees, or currency conversion.

The merchant is responsible for fulfilling the order, delivery or pickup, product quality, cancellations, returns, and refunds. Contact the merchant first for an order question or refund request.

Pat may help route a support request, but does not promise a refund or make decisions on the merchant’s behalf. Your statutory consumer rights are not limited by these terms.

Do not use Pat to deceive, impersonate another person, test payment credentials without permission, interfere with a payment link, distribute malware, or buy or sell goods or services that are illegal or restricted. We may limit access to a link where we reasonably suspect misuse, fraud, or a security risk.

Pat and its software, branding, interfaces, and content are owned by Ernwell, Inc. or its licensors. We grant you a limited, revocable, non-transferable right to use Pat for its intended business or payment purpose.

We may change, suspend, or discontinue a feature and may terminate or restrict access for a material breach, fraud or security risk, legal requirement, or provider restriction. Sections that by their nature should survive termination remain in effect.

Pat is provided on an “as available” basis. To the extent permitted by law, Ernwell, Inc. disclaims implied warranties and is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or losses caused by a merchant’s goods, fulfillment, or refund decisions.

Nothing in these Terms excludes liability that cannot legally be excluded or limits statutory consumer rights.

These Terms are governed by the laws of the State of Utah and applicable United States law, without regard to conflict-of-law rules. Courts with jurisdiction in Utah may hear disputes that are not otherwise resolved by agreement.

We may update these Terms as Pat changes. The effective date above identifies the current version. Continued use after an update takes effect constitutes acceptance where permitted by law.
